Terms and Conditions

All quotations are valid for thirty (30) days unless otherwise stated. The nature of our business is such that we handle a large number of variations and/or orders, many of which specify terms and conditions which would add to or differ from those set forth herein. To negotiate individually with respect to these terms and conditions would seriously interfere with our service to all our customers. Consequently, notwithstanding any terms and conditions which may appear on the buyer’s order, the terms and conditions of this document shall govern, irrespective of whether the Buyer accepts these conditions by written acknowledgment, by implication or by acceptance and payment of goods hereunder. Seller’s failure to object to provisions contained in any communications from buyer shall not be deemed a waiver of the provision of this document.

Stated prices are for the scope of supply shown on the contract terms and do not include shipping, credit card processing fees, change orders, sales, use, excise, or similar taxes nor the cost of conformance to local or Buyer’s desired codes, standards, or regulations not stated in the Buyer‘s specification. For import duties, tariffs or other taxes imposed by any foreign country, the Buyer shall pay or reimburse Company.

Payment Terms must be arranged before the product can be delivered. For first time Buyers or Buyers with incomplete credit histories, full payment or full satisfaction of payment terms stated on the quote or as shown below will be required before EC Supply Inc (“ECS”) starts processing the order.

Payment shall be by cash, wire, credit card or cashier’s check. Checks must clear before product is shipped.

Unless otherwise agreed to in writing, title to the product shall remain with ECS until full payment is received. ECS reserves the right to secure full payment of the product to protect its financial interests. This may include filing Pre-Lien Notices and/or subsequent activities to perfect said Lien or to execute similar actions

Buyer is liable for all legal, collection and court costs if its account is placed for collection including but not limited to expenses incurred in Lien filings and other claim filings and for reasonable attorney’s fees.

Order will be immediately processed upon receipt of Buyer’s acceptable Purchase Order, signed ECS proposal and meeting the payment terms required. An order comes to being only upon ECS’s acceptance as evidenced by a written Order Confirmation sent to Buyer. All change orders will be considered as accepted unless rejected in writing within ten (10)-days of receipt of ECS’s written Order Confirmation.

By placing an order with EC Supply, Inc., the buyer agrees that the seller (EC Supply, Inc.) reserves the right to review the order against any typographical errors in pricing, quantities, or specials that may be displayed on the website. Taking payment for products ordered does not constitute acceptance by the seller for the order. If an order is found to have an error, the customer will be contacted via email, their order will be cancelled and the funds returned via the original payment method.

EC Supply Inc. does not allow any returns, but does provide exchanges on defective products within the manufacturers’ warranty period. Due to the nature of batteries (e.g. 18XXX or 26XXX) and coils, a strict no returns policy will remain in effect for the aforementioned product types unless otherwise agreed upon in writing. EC Supply, Inc. reserves the right to revoke it’s warranty exchange program at anytime.

EC Supply Inc. only ships to verified business addresses. We do not ship to residential addresses. If it is determined your order was placed with a residential shipping address, we will hold your order until we receive a business address from you, or we will refund your order. EC Supply Inc. reserves the right to change its shipping policy at anytime.

Title in the product shall remain with ECS until Buyer makes full payment. Risk of loss for the product shall pass to Buyer upon shipment from F.O.B. point, or at agreed shipment date if delayed by Buyer. When product is ordered and not shipped, there will be a minimum storage fee of one-quarter percent (0.25%) of the total contract price per month unless storage fees are especially negotiated or waived as evidenced in writing by ECS. Scheduled shipping dates are based upon prompt receipt of all necessary information from Buyer. If Buyer is supplying parts or services to ECS for incorporation into the order, ECS’s role shall be limited to the basic supply of labor only. Timely receipt, suitability of use and applicability of said parts or proper execution of services shall be the sole responsibility of Buyer. ECS shall not be liable for any loss, damage or delay in delivery due to causes as stated above or from other causes beyond its reasonable control such as acts of God, acts of the Buyer, acts of civil or military authority, acts of terrorists, fires, strikes, floods, epidemics, quarantine restrictions, war, riots, delays in transportation, transportation embargoes, obtain necessary, labor, materials or manufacturing facilities. In the event of such delay, the delivery date shall be extended for that length of time as may be reasonably necessary to compensate for the delay.

All products are protected by the manufacturer’s warranty. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OF MERCHANTABILITY OR FITNESS, and thereby excludes certification or the like for product performance, use or design, with respect to any standard, regulation, AND EXTENDS ONLY TO BUYER OR CUSTOMER PURCHASING FROM ECS.

If any clause, sentence, word or other term of this agreement is found or declared by law or legal proceedings to be unenforceable, void or illegal, the remainder of said agreement shall remain in full force and effect and binding on the parties hereto. The terms and conditions herein contained, shall, unless otherwise specifically agreed to by Seller in writing, be the sole terms and conditions governing any purchase and sell contract entered into between the Buyer and Seller. Stenographical and typographical error are subject to correction. No modification or addition to any of the terms and conditions hereof will be effective unless agreed to in writing by Seller.

In the event that any action, suit or other proceeding is instituted to remedy, prevent or obtain relief from a breach of this agreement, or arising out of a breach of this agreement, the prevailing party shall recover such party’s actual attorneys’ fees incurred in each and every such action, suit or other proceeding, including any and all appeals or petitions therefrom.

This agreement is made and entered into the State of California; therefore, this agreements and all its amendments, additions and modifications thereto shall be governed and construed and interpreted in accordance with California law. Buyer further acknowledges and agrees that any lawsuit filed with respect to any dispute arising under this agreement will be filed in a court of competent jurisdiction in Los Angeles, Los Angeles County, California.

Warning:

• Products sold by EC Supply Inc. are intended for use by persons of legal age or older.
• Products sold by EC Supply Inc. are not intended for children, women who are pregnant or breast feeding.
• Products sold by EC Supply Inc. are not smoking cessations products and they have not been tested as such.
• Products sold by EC Supply Inc. are not intended for persons with or at risk of heart disease, high blood pressure, diabetes, or taking any type of medication especially medicine for depression or asthma. Always consult a licensed physician prior to use.

E-liquids & Nicotine

• California Proposition 65: This product contains nicotine, a chemical known to the state of California to cause birth defects or other reproductive harm.
• Nicotine warning: Nicotine is a highly addictive substance and can be poisonous, with serious health consequences including death. You should not use this product if you have any underlying medical conditions which may be aggravated or exacerbated by this product. Nicotine is extremely habit forming. You may experience withdrawal symptoms after stopping the use of this product. Some of the side effects of nicotine use may include irregular heartbeat, changes in blood pressure, inflammation of blood vessels, chest pain, depression, shortness of breath, sweating, dizziness, throat irritation, rash, swelling, nose bleed, diarrhea, headache, and dry mouth. Consult your physician prior to using this product. Nicotine is quickly absorbed with skin contact. Keep away from skin, eyes, mouth, and any other area of the body. In the event that you come into contact with nicotine, wash the affected area with soap and water for at least 15 minutes, and immediately contact your local Poison Control Center.
• Drug interactions: Nicotine may interact with certain pharmaceutical drugs. Consult your physician or pharmacist prior to use to avoid serious complications.
• Please do not puncture cartridges or drink the e-liquids.
• Ingestion of the non-vaporized concentrated ingredients in the e-liquids purchased from EC Supply Inc. can be poisonous.
• Use this product in moderation. Failure to do so may result in nicotine overdose.
• E-liquids may contain trace amounts of nuts, gluten, sugar, or other sweeteners in the flavoring. Flavorings may also contain artificial colors, artificial flavors, and artificial sweeteners.
• Do not use this product if you are allergic or sensitive to any of the common ingredients of e-liquid, such as propylene glycol, vegetable glycerin, nicotine, and food/beverage flavorings. A small percentage of people have allergies to propylene glycol, present in many, but not all, e-liquids.
• You must be of legal smoking age in your jurisdiction to use this product.
• Not for use by women who are nursing, pregnant, or are planning to become pregnant.

Hardware and Equipments (Atomizers / Mods)

• Do not use or charge with non-approved devices. Overuse of vaping apparatus may cause this product to overheat, malfunction, and/or cause burns or other physical injury.
• Do not leave this product unattended while charging, and do not charge it in your vehicle.
• Do not modify or attempt to disassemble this product. Use accordingly.
• Always turn off your vaping apparatus in between uses.
• Do not attempt to fix, correct, replace, or install any part of the vaping apparatus.
• Electronic cigarettes, personal vaporizers, and e-liquids are not approved by the FDA.
• We DO NOT recommend building/wrapping a coil lower than 0.3Ω in resistance.
• Cease the use of any equipment if there are any slight indications of malfunction.
• Mechanical mods and hybrid connection mods are advanced user items. Please understand all safety procedures before attempting to use.
• WARNING: Some tanks are made from polycarbonate and is not suitable for e-liquid use as some flavors might affect its structural integrity causing it to craze or crack. Please check and see if your tank is made from a suitable material (like glass, Pyrex, stainless steel, etc.) when using citrus, cinnamon, and tea flavors.

Batteries

• All Li-ion batteries may vent or explode if they are misused.
• Over discharging and over charging these types of batteries can result in thermal runaway.
• Never leave your batteries unattended while they charge.
• Always remove batteries from charger when they are done charging.
• Never store batteries loosely in a pocket or purse. Batteries must be safely stored in a battery case on person.
• Never allow foreign metallic items come in contact with the positive and negative electrodes of any battery.
• Never discharge a battery past its specified cut-off voltage, which is typically 3.0 volts.
• NEVER surpass the batteries’ specified discharge rates given by the manufacturer.

DISCLAIMER OF LIABILITY: EC Supply Inc. is not responsible for any direct, indirect, special, or consequential damages and personal injuries, including that to life, and health, resulting from any application and use of batteries. Your purchase of this product constitutes your agreement to hereafter assume full and total responsibility for your subsequent utilization and/or resale of the Battery and you agree to defend, protect, save harmless, and indemnify EC Supply Inc., its officers, and employees relative to your or your customers’ potential use and misuse of this product. These batteries are not designed for or are intended to be used in any vape or electronic cigarette product or device. By purchasing or using a battery purchased from EC Supply Inc. you agree to the above terms.
